1. Acceptance of Terms
By accessing and using the website blackduckmpls.com (the “Website”), making reservations through SevenRooms, placing orders through Toast, or otherwise engaging with Black Duck Spirits and Hearth (the “Restaurant”), you agree to be bound by these Terms and Conditions (the “Agreement”). If you do not agree to these terms, you may not use our Website or services.
These terms apply to all visitors, users, and others who access our Website or use our services.
2. Use License
We grant you a limited, non-exclusive, revocable license to access and use our Website for lawful purposes only. You agree not to:
- Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Website without our express written permission
- Attempt to gain unauthorized access to our systems or networks
- Transmit any unlawful, threatening, abusive, defamatory, obscene, or otherwise objectionable material

4. Reservations Through SevenRooms
4.1 Reservation Acceptance
Reservations made through SevenRooms are subject to our acceptance. We reserve the right to decline, modify, or cancel any reservation at our sole discretion. A reservation is not confirmed until you receive a confirmation from the Restaurant.
4.2 Cancellation Policy
- 24-Hour Cancellation Requirement: Reservations must be canceled or modified at least 24 hours in advance of your reservation time.
- Cancellation Fee: Cancellations made less than 24 hours in advance of your reservation will incur a $20 cancellation fee per reservation.
- No-Show Policy: If you fail to arrive for your reservation without canceling, you may be charged a no-show fee equivalent to the cancellation fee.
- How to Cancel: You may cancel or modify your reservation through the SevenRooms platform, by phone, or by email. Cancellations submitted through SevenRooms are subject to their processing timelines.
4.3 Special Requests and Dietary Restrictions
You may communicate special requests, dietary restrictions, and allergies through SevenRooms when making your reservation. We will make reasonable efforts to accommodate your requests, but we cannot guarantee accommodation for all special requests. The Restaurant reserves the right to decline reservations if we cannot safely accommodate dietary restrictions or allergies.
4.4 Group Reservations
Group reservations (typically 6 or more guests) may be subject to additional terms, including deposit requirements or modified cancellation policies. Please contact the Restaurant directly for group reservation policies.
4.5 Reservation Accuracy
You are responsible for providing accurate information when making a reservation, including the number of guests, date, time, and any special requests. Providing false information may result in cancellation or denial of service.
5. Online Ordering and Pickup
5.1 Order Placement and Acceptance
Orders placed through Toast are subject to the Restaurant’s acceptance. We reserve the right to decline, modify, or cancel any order. An order is not confirmed until you receive a confirmation message from the Restaurant through Toast.
Menu items, prices, and availability are subject to change at any time. While we strive to maintain menu accuracy, items shown in Toast may occasionally be unavailable due to inventory constraints or other operational reasons.
5.2 Pickup Only
Black Duck Spirits and Hearth currently offers pickup orders only. We do not offer delivery service at this time. All orders must be claimed and picked up in person at our physical location within the specified pickup window provided in your order confirmation.
5.3 Pickup Time Windows
You must pick up your order during the specified pickup time window. If you do not pick up your order within a reasonable time after the scheduled pickup window, we may dispose of the order, and a full refund or credit may not be issued.
5.4 Alcohol Sales
5.4.1 Age Verification
When your order includes alcoholic beverages:
- You affirm that you are at least 21 years of age
- You agree to present valid government-issued photo identification at pickup
- You acknowledge that we reserve the right to refuse service to any individual who cannot provide valid identification or who appears to be intoxicated
5.4.2 Identification Requirements
Valid identification must:
- Be government-issued (such as a driver’s license, passport, or state ID)
- Contain a current photograph matching your appearance
- Show an issue or expiration date indicating validity
- Clearly display your date of birth
5.4.3 Refusal of Service
We reserve the right to refuse to release alcoholic beverages if:
- You cannot provide valid government-issued photo identification
- The identification does not match the name on your order
- You appear to be visibly intoxicated
- You appear to be purchasing alcohol on behalf of a minor
- Any other legal or safety concern exists
If we refuse to release an alcoholic order, no refund or credit may be issued.
5.4.4 Responsible Consumption
By ordering alcohol, you agree to consume the alcoholic beverages responsibly and in accordance with all applicable laws. You assume all responsibility for the consequences of alcohol consumption.
5.5 Payment Terms
- All orders must be paid in full at the time of ordering through Toast
- We accept all major credit cards and payment methods available through Toast
- You are responsible for all applicable taxes and fees
- Payment is non-refundable except as otherwise stated in this Agreement
5.6 Order Modifications and Cancellations
- Orders submitted through Toast generally cannot be modified or canceled online after submission, as most orders begin preparation immediately
- If you wish to cancel or modify an order, you must contact the Restaurant directly by phone or in person as soon as possible
- Cancellation requests are subject to our discretion and operational capabilities
5.7 Quality Assurance
While we strive to prepare all orders correctly, occasional errors may occur. If your order is incorrect, prepared incorrectly, or unsatisfactory:
- Contact us immediately upon pickup or as soon as reasonably possible
- We will make reasonable efforts to correct the problem.
- Claims regarding order quality must be made within a reasonable time of pickup
6. Limitation of Liability
To the maximum extent permitted by law, Black Duck Spirits and Hearth shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, or business opportunities
- Delays or service interruptions
- Quality of service issues
- Any damages arising from use or inability to use our Website or services
- Third-party conduct or services, including SevenRooms and Toast
7. Disclaimers
7.1 Website Availability
Our Website is provided on an “as-is” and “as-available” basis without warranties of any kind. We do not guarantee that our Website will be:

SevenRooms and Toast are third-party platforms. We are not responsible for:
- Their operations, policies, or practices

- Service interruptions or failures
- Data breaches or unauthorized access to their systems
- Changes to their fees, terms, or availability
7.3 Menu Items and Allergens
While we make efforts to provide accurate menu information, including ingredient lists and allergen information, we cannot guarantee the complete absence of allergens in any food product due to cross-contamination risks in our kitchen. If you have severe allergies, please inform our staff, and we will make reasonable efforts to accommodate your needs or decline to serve you if we cannot safely do so.
8. Indemnification
You agree to indemnify, defend, and hold harmless Black Duck Spirits and Hearth, its owners, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from:
- Your violation of these Terms and Conditions
- Your use of our Website or services
- Your violation of any applicable law or regulation

- Your conduct or actions related to your reservation or order
9. Governing Law and Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Hennepin County, Minnesota.
10. Severability
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, or if not possible, severed. The remaining provisions shall remain in full force and effect.
11. Entire Agreement
These Terms and Conditions, along with our Privacy Policy, constitute the entire agreement between you and Black Duck Spirits and Hearth regarding your use of our Website and services. Any prior agreements, understandings, or representations are superseded by this Agreement.
